OFFICIAL RULES

Important: Please read these Official Rules before entering this Promotion (the “Promotion”).

By participating in this Promotion, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements below.

 

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS PROMOTION. PURCHASE OR PAYMENT WILL NOT INCREASE ODDS OF WINNING.

 

Promotion void where prohibited. Subject to applicable federal, state, and local laws.

 

  1. Eligibility: The Promotion is open only to legal residents of the 50 United States or District of Columbia who upon entry are (a) at least 18 years old (or the age of majority in their jurisdiction of residence, whichever is older) and (b) licensed drivers (have a valid/current driver’s license). Directors, officers, members, managers, and employees of Guns Out Armored Toys Apparel LLC d/b/a GOAT Apparel (“Sponsor” or “we”), Guns Out Armored Toys LLC d/b/a GOAT Vehicles and d/b/a GOAT Tactical, and any of their respective parent companies, affiliate companies, subsidiaries, agents, professional advisors, advertising, promotional, public relations, and fulfillment agencies, consultants, legal counsel, website providers, web masters, and immediate family members (spouse, parent, child, sibling, grandparent, and “step” child, wherever they may live) of each are not eligible to win any prize. IF YOU DO NOT MEET ANY OF THESE REQUIREMENTS, OR ANY OTHER ELIGIBILITY REQUIREMENTS IN THESE OFFICIAL RULES, YOU ARE NOT ELIGIBLE TO WIN A PRIZE. To be eligible

to win a prize, entries must be completed and received by Sponsor in the manner and format designated.

 

  1. Promotion Period: The Promotion starts at 12:00:01 a.m. MT on January 19, 2024 and ends at 11:59:59 p.m. MT on June 19, 2024 (the “Promotion Period”). Sponsor’s or its designee’s computer is the official time-keeping device for the Promotion. All entries must be received during the Promotion Period unless otherwise stated in these Official Rules and meet other requirements in these Official Rules to be eligible to win a prize. Proof of entry does not constitute proof of receipt by Sponsor.

 

  1. How to Enter: To enter, during the Promotion Period:

 

    1. ONLINE PURCHASE METHOD OF ENTRY (Entrant’s online consent to participate in the Promotion is required to enter via an online purchase.): Internet access required*. During the Promotion Period, eligible entrants will receive one (1) entry for every $1 spent on eligible purchases of GOAT Apparel merchandise/product items made online at https://gunsout.com (the “Website”). The number of entries you receive will be based on the list price of your eligible purchase (excludes discounts, sales tax, and shipping charges) and will be rounded up to the next $1 dollar increment. If a purchase is returned prior to the drawing, entry/ies associated with that purchase will be voided. All purchases are subject to Sponsor’s return policy. Your purchase transaction must be received by 11:59:59 PM MT on June 19, 2024 and must include your consent to be entered to be eligible to receive entries via a purchase, in this Promotion. See below for limits on number of entries.

 

ENTRY MULTIPLIER OFFERS: Throughout the Promotion Period, the Sponsor may at its discretion (but is not required to) offer opportunities to increase the number of online purchase entries you may earn by a multiplier, e.g., (2X), (5X), (10X) (each an “Entry Multiplier”). When an Entry Multiplier is offered by Sponsor, entries will be multiplied by the applicable Entry Multiplier. For example, a $60 purchase during a 2X Entry Multiplier offer will earn 120 entries (60x2=120). Timing for an Entry Multiplier offer will be determined solely by the Sponsor and will be announced by the Sponsor on their Website (at https://gunsout.com) and/or its social media pages. To receive additional entries during an Entry Multiplier offer without making a purchase, follow the instructions for mail-in entries in #3B below, and hand write the words “ENTRY MULTIPLIER” and the Entry Multiplier (e.g., 2X Entry Multiplier) being offered on

the bottom right-hand corner of your mail-in envelope. Your mail-in entry must have a postmark that

 

corresponds to the date an Entry Multiplier is offered and must be received within 5 days of the offer’s deadline. If an Entry Multiplier offer ends on a Sunday or federal holiday, the Multiplier mail-in entry must be postmarked on the following business day and received within 5 days of the offer deadline. Each mail-in entry received that complies with all the above requirements will receive the applicable number of entries for the respective multiplier that is offered. For example, an eligible Mail-In Entry received during a 2X Entry Multiplier offer (as explained in this paragraph) will earn 120 entries per mailing envelope, etc.

 

*Normal internet access, phone, and usage charges imposed by your online or phone service may apply. If you are entering via a mobile device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply.

B. FREE (NO PURCHASE REQUIRED) MAIL-IN METHOD OF ENTRY: To receive sixty (60) entries

without making any kind of purchase or payment, on a plain piece of 3”x5” paper, hand print your complete first and last name, street address, city, state, zip code, date of birth (mm/dd/yyyy), e-mail address plus daytime telephone number including area code. Mail your entry in a #10 business-size envelope with postage affixed to: GOAT Atlas Giveaway 202401, 6700 N Linder Rd #156-123, Meridian, ID 83646.

Your outer-mailing envelope must include a valid return address, which includes a complete first and last name. Mailed entries received without a verifiable and legible return address will be deemed incomplete and invalid. Limit one entry process (60 entries) per outer-mailing envelope. Bulk shipments (multiple entries in one shipping package) will not be accepted. Mail-in entry, including outer-mailing envelope must be handwritten. No mechanically reproduced entries or metered mail permitted. Entries that are postmarked by the promotion end date, June 19, 2024** and received by June 24, 2024 will be eligible for the drawing.

**In the event a postmark date falls on a Sunday or federal holiday, the mail-in entry must be postmarked on the following business day. Each mail-in entry will count as sixty (60) entries, provided that the mail-in entry complies with the above requirements. See below for limits on number of entries.

 

Mail-in entries that are not in the format specified above, that are illegible, inaccurate, incomplete, or reproduced via photocopier or otherwise will be considered null and void. Not responsible for lost, late, illegible, mutilated, misdirected, postage-due entries or entries not received by the deadline. All material submitted becomes property of Sponsor and will not be returned. No correspondence will be acknowledged or entered into; requests for confirmation of receipt of mail-in entries will not be acknowledged. This Promotion may run concurrently with other Sponsor Promotions.

 

LIMIT ON NUMBER OF ENTRIES: LIMIT 960 TOTAL ENTRIES DURING PROMOTION PERIOD,

REGARDLESS OF METHOD OF ENTRY. Any attempt to obtain additional entries, including through multiple or duplicate accounts, bots, or other bulk or automated means, will result in disqualification.

 

  1. Identity of Entrant: All entries must be submitted by the individual entrant. Bulk or automated entries will be disqualified (including entries made using any script, macro, bot, or promotional service). Multiple participants are not permitted to share the same email account for entry. Any attempt to obtain additional entries through fraud or other illegitimate means will result in disqualification, at Sponsor’s discretion.

 

If there is a dispute about the identity of the entrant, entries will be declared made by the authorized account holder of the email address submitted or associated with the entry. An “authorized account holder” means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be required to provide Sponsor with proof that a potential winner is the authorized account holder of the account associated with the winning entry.

 

  1. Selection and Notification of Winner: On or about June 26, 2024 Sponsor will select the name of one potential winner of the prize in a random drawing from among all eligible entries. The odds of winning depend on the number of eligible entries received. Sponsor will notify the potential winner via email or phone on or about June 27, 2024. To claim a prize, the potential winner must follow the instructions contained in the notification. To the fullest extent permitted by applicable law, Sponsor may require each potential winner to sign and return, within

seven days of being notified by Sponsor, an affidavit of eligibility, liability and publicity release, copy of driver’s license, and other legal, regulatory or tax-related documents (e.g., Form W-9) required at Sponsor’s discretion (“Affidavit and Related Documents”) in order to claim a prize. If (i) the attempted notification is returned as undeliverable without a forwarding address; (ii) the Affidavit and Related Documents are not signed and returned within seven days of the date the notification email is sent by Sponsor; or (iii) if potential winner is otherwise unable to accept the prize as stated, the prize will be forfeited and may be awarded to an alternate winner. If Sponsor is unable to determine and verify a potential winner after repeated alternate drawings, Sponsor reserves the right not to award any or all of the prize(s). If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, alternate winner(s) will be selected in accordance with the above selection process from among all valid claimants to award the prize(s) available.

 

Verification of Potential Winner: THE POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. AN ENTRANT IS NOT A PRIZE WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND NO FURTHER ACTION IS NEEDED.

 

6. Prize: One winner will receive their choice of one the following:

 

Vehicle Prize: One Goat Atlas plus $40,000 in cash. Approximate Retail Value (“ARV”) of the prize:

$480,000.00. Total ARV of prize: $480,000.00.

 

OR

 

Crypto Prize: Bitcoin (BTC) with an approximate value of $250,000 less applicable transfer fees at the time of deposit, sent to a Bitcoin address, subject to winner and such Bitcoin address satisfying any applicable anti-money laundering requirements, including verification of winner’s identity and ownership of such Bitcoin address. Due to market volatility the ARV of the crypto prize will be different on the date the winner receives it. If winner is unable to provide an approved Bitcoin address to which the bitcoin may be transferred, Sponsor reserves the right to award the applicable prize to an alternate winner.

 

Acknowledgement of Risk: If you select to receive the crypto prize, you acknowledge and agree that there are risks and potential financial losses associated with holding any cryptocurrency, including Bitcoin. The value of the Bitcoin is subject to fluctuation between the time Sponsor deposits the Bitcoin in your Bitcoin wallet and any time after that. Due to the nature of virtual currency, there is an increased risk of fraud or the value of your cryptocurrency being irretrievably stolen. Bitcoin may be lost if the wrong wallet address is provided to Sponsor or, for example but without limitation, is improperly formatted, contains errors, or is intended to be used for a different type of digital asset. By opting to receive the crypto prize as part of the Promotion, you expressly acknowledge and assume these risks. Any malfunction, breakdown or abandonment of the Bitcoin network protocol may have a material adverse effect on your bitcoin. We will not be responsible or liable for any failure of the Bitcoin network protocol that results in a failed transfer of Bitcoin to you. Additionally, legislative and regulatory changes or actions at the state, federal or international level may adversely affect the use, transfer, exchange and value of Bitcoin. You should carefully assess whether your financial situation and tolerance for risk is suitable for receiving the crypto prize.

 

Compliance with Laws. To the extent you are a winner and elect to receive the crypto prize, you are responsible for complying all laws that apply to your use of Bitcoin. You agree to provide us with information that we request for the purposes of verifying your identity and the detection of money laundering, terrorist financing, fraud, or any other financial crimes and permit us to keep a record of such information. You confirm that all such information is accurate and authentic and agree to keep us updated if any of the information you provide changes prior to your receipt of the crypto prize. You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial

Prize Restrictions: Prizes are not transferable. No substitutions or exchanges of any prize (including for cash) will be permitted, except that Sponsor reserves the right to substitute a prize of comparable or greater value for any prize.

Only 1 prize is available to be won in the Promotion. Sponsor will not replace any lost or stolen prizes or prize components. EXCEPT FOR APPLICABLE MANUFACTURER’S STANDARD WARRANTIES, THE PRIZE IS AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE).

 

WINNER ACKNOWLEDGES THAT SPONSOR HAS NOT MADE NOR IS IN ANY MANNER RESPONSIBLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO ANY COMPONENT OF THE PRIZE OFFERED IN THIS PROMOTION, INCLUDING BUT NOT LIMITED TO ITS QUALITY, MECHANICAL CONDITION OR FITNESS FOR A PARTICULAR PURPOSE, AND THE PRIZE VEHICLE MAY NOT MEET SAFETY OR EMISSIONS TESTING REQUIRED IN SOME STATES, AND/OR COUNTIES/MUNICIPALITIES. WINNER IS RESPONSIBLE TO CHECK THEIR STATE/COUNTY FOR APPLICABLE EMISSIONS REQUIREMENTS AND SAFETY INSPECTION REQUIREMENTS PRIOR TO ACCEPTING THE PRIZE AND MUST USE THE PRIZE IN ACCORDANCE WITH THOSE REGULATIONS. CHECK STATE AND LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. IF WINNER SELECTS VEHICLE PRIZE, SPONSOR WILL DELIVER VEHICLE TO WINNER (SUBJECT TO ANY STATE OR LOCAL LAW RESTRICTIONS).

 

ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE

ARE THE SOLE RESPONSIBILITY OF THE WINNER. Winner will also be solely responsible for all fees and expenses related to acceptance of prize not specified as paid by Sponsor herein, including licensing, insurance, title and registration fees costs incurred by winner related to the acceptance, pickup/transport or use of the prize, gasoline and vehicle maintenance, and any and all other expenses related to acceptance and use of prize, including, but not limited to, change of transportation, incidentals, tariffs or duties, surcharges, service charges, or charges and expenses associated with travel required to claim the prize. For a US Winner, prize winnings must be reported to the IRS when filing your tax returns, and any federal or state income taxes would need to be paid by you directly to the IRS. Winner must agree to physically claim the prize within thirty (30) days of notification of availability from the Sponsor; failure to take delivery within 30 days of availability could cause the prize to be forfeited and awarded to an alternate. Winner must possess required travel documents (e.g., a government-issued ID, passport), as applicable. Winner will be responsible for all aspects of operating the automobile prize. Winner must have a valid driver’s license which permits operation of the prize vehicle in the winner’s state/province of residence and evidence of legally required insurance prior to taking delivery, and may be required to provide proof of such documentation, as well as taxpayer identification numbers prior to being confirmed as the winner. In the event winner is unable to take delivery of the prize, or is found to be ineligible for any reason, winner will be disqualified, and an alternate winner may be selected. Any unclaimed or unused prize (or portion of the prize package) will remain the property of Sponsor.

Disclaimer: Sponsor, Degen Capital LLC, and any of their parent companies, subsidiaries, affiliates, professional advisors, consultants, contractors, legal counsel, public relations firms, advertising, fulfillment and marketing agencies, and any of their respective directors, officers, members, managers, and employees (collectively, the “Released Parties”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or entries; (b) phone, electronic, hardware, software, network, Internet, or other computer or communications-related malfunctions or failures; (c) any Promotion disruptions, injuries, losses or damages caused by events beyond the reasonable control of Sponsor or the Released Parties; or (d) any printing or typographical errors in any materials associated with the Promotion.

General Release and Limitation of Liability: By entering the Promotion, you agree to release Sponsor and all Released Parties from any liability whatsoever and waive any and all causes of action, whether under a theory of contract, tort (including negligence), warranty or other theory, arising out of or in connection with the Promotion or delivery, misdelivery, acceptance, possession, use of or inability to use any prize

(including claims for costs, losses, personal injuries, death, or damages of any kind, such as damage to or destruction of property or damages related to rights of publicity or privacy, moral rights, defamation or portrayal in a false light, whether intentional or unintentional).

 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SPONSOR OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO YOUR PARTICIPATION IN THE PROMOTION OR USE OR INABILITY TO USE ANY EQUIPMENT PROVIDED FOR USE IN THE PROMOTION OR ANY PRIZE, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Use of Name, Likeness, etc.: To the fullest extent permitted by applicable law, entry into the Promotion constitutes permission to use your name, hometown, aural and visual likeness and prize information for advertising, marketing, and promotional purposes without further permission or compensation (including in a public-facing winner list). As a condition of being awarded any prize, except where prohibited by law, winner may be required to execute a written consent, confirming Sponsor’s right to use winner’s name, hometown, aural and visual likeness and prize information for advertising, marketing, and promotional purposes without further permission or compensation. By entering this Promotion, you consent to being contacted by Sponsor for any purpose in connection with this Promotion.

THESE OFFICIAL RULES ARE GOVERNED BY THE LAWS OF THE STATE OF IDAHO, WITHOUT REGARD TO CHOICE OF LAW OR CONFLICT OF LAWS RULES. Sponsor reserves the right to change these Official Rules at any time, in its discretion, and to modify, suspend or cancel the Promotion or any entrant's participation in the Promotion should viruses, bugs, unauthorized human intervention, pandemics, public disruptions, or other causes beyond Sponsor's reasonable control affect the administration, security or proper play of the Promotion, or Sponsor otherwise becomes (in its discretion) incapable of running the Promotion as planned. Entrants who violate these Official Rules, violate any law, rule, or regulation in connection with participation in the Promotion, tamper with the operation of the Promotion or engage in any conduct that is detrimental or unfair to

Sponsor, the Promotion or any other entrant (as determined in Sponsor's discretion) are subject to disqualification from the Promotion. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Promotion. Sponsor reserves the right to disqualify any entries received that contain inappropriate or offensive content. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect. The use of the terms “include” or “including” in these Official Rules is illustrative and not limiting.
